    Terms of Service

    These terms govern your access to and use of Hyperclip. By creating an account or using the service, you agree to be bound by them.

    Welcome to Hyperclip. Hyperclip is a product of Maxiv LLC ("Maxiv LLC," "Hyperclip," "we," "us," or "our"). These Terms of Service ("Terms") form a binding agreement between you and Maxiv LLC and govern your use of our website, applications, APIs, and related services (collectively, the "Service"). If you do not agree to these Terms, do not use the Service.

    01

    Eligibility and accounts

    You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. By registering, you represent that the information you provide is accurate and that you are not barred from using the Service under the laws of any applicable jurisdiction.

    You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at [email protected] of any unauthorized use. We may suspend or terminate accounts that we reasonably believe to be compromised, fraudulent, or in violation of these Terms.

    02

    The Service

    Hyperclip is a platform for designing visual workflows ("Flows") that generate short-form video content using third-party artificial intelligence models. The Service may be accessed through our web application or our public API. Features, models, and pricing may change without notice.

    03

    Subscriptions, credits, and billing

    The Service is offered on a credit-based model. Credits are consumed when you generate content or otherwise invoke billable operations. Costs per operation are displayed in the Service and may change as upstream provider pricing changes.

    • Subscriptions. Paid plans renew automatically each billing period until cancelled. You may cancel at any time through your account settings; cancellation takes effect at the end of the current period.
    • Credit packs. Credit packs are available only to users with an active subscription. Purchased credits are non-refundable and may expire on terms shown at purchase.
    • Auto-refill. If you enable auto-refill, you authorize us to charge your saved payment method when your balance falls below the threshold you set. You may disable auto-refill at any time.
    • API usage. Calls made through the public API are billed against your credit balance; the exact credit amount is shown on each charge record.
    • Payment processor. Payments are processed by a third-party payment processor. We do not store full payment card details. Your use of payment services is also subject to that processor's terms.
    • Taxes. Prices are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes.

    Refunds. Except where required by applicable law, all fees and credit purchases are final and non-refundable. We may, at our sole discretion, issue refunds or credits in cases of confirmed billing errors or documented service failures.

    04

    Your content

    "User Content" means any input, prompt, asset, configuration, or other material you submit to the Service, together with the generated outputs produced from it ("Outputs"). As between you and Hyperclip, you retain all rights you have in your User Content.

    You grant Hyperclip a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, and process User Content solely as needed to operate, secure, improve, and provide the Service to you, including transmitting it to third-party model providers and infrastructure necessary to fulfill your requests. We do not use your User Content or Outputs to train our own machine-learning models.

    You represent and warrant that you have all rights necessary to submit your User Content and that your User Content and Outputs do not and will not infringe, misappropriate, or violate the rights of any third party or any law.

    05

    AI-generated content

    The Service uses third-party AI models to generate Outputs. AI Outputs are probabilistic, may be inaccurate or offensive, and may resemble existing works. You acknowledge and agree that:

    • We do not guarantee that any Output is original, accurate, suitable for a particular purpose, or free of intellectual-property claims by third parties.
    • You are solely responsible for reviewing Outputs before publishing or distributing them, including for compliance with applicable law and the policies of any platform on which you publish.
    • Ownership and copyrightability of AI-generated material varies by jurisdiction. We make no warranty about your ability to register or enforce copyright in Outputs.
    • Outputs produced from substantially similar prompts may be generated for other users. We do not promise exclusivity in Outputs.
    06

    Acceptable use

    You will not, and will not permit any third party to:

    • use the Service to violate any law or third-party right;
    • generate, upload, or distribute content that is unlawful, defamatory, harassing, hateful, or that depicts the sexual exploitation or abuse of minors;
    • generate non-consensual intimate imagery, or realistic depictions of identifiable real persons (including public figures) without lawful basis or their consent, in a manner intended to deceive, defraud, or harm;
    • generate content intended to impersonate, defraud, or commit election interference;
    • infringe, misappropriate, or violate any patent, copyright, trademark, trade secret, right of publicity, or other intellectual-property or privacy right;
    • attempt to reverse-engineer, decompile, or extract the underlying models, weights, prompts, or source code of the Service, except as expressly permitted by law;
    • interfere with or disrupt the Service, probe it for vulnerabilities outside an authorized program, or circumvent rate limits, billing, or access controls;
    • resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted (e.g., through API usage on your own behalf).

    We may, at our discretion and without liability, remove content, suspend access, or terminate accounts that we believe violate these Terms or pose risk to the Service or its users.

    07

    Third-party services and platforms

    The Service relies on, and integrates with, third-party providers including hosting and database providers, a payment processor, and AI model providers. The Service may also let you connect accounts on social platforms (such as TikTok, YouTube, or Instagram) to publish or schedule content. Contact us at the address below for a current list of sub-processors.

    Your use of any third-party service is governed by that service's own terms and privacy policy. We do not control and are not responsible for third-party services, their availability, their content, or any actions they take with respect to your data or content. Connecting a third-party account constitutes your authorization for us to access and act on that account on your behalf, within the scope you grant.

    08

    API and rate limits

    API keys are personal to your account and must be kept confidential. You are responsible for all activity initiated with your API keys, including charges. We may impose rate limits, quotas, or other technical restrictions and may revoke keys for abuse, security risk, or non-payment.

    09

    Intellectual property

    Hyperclip and its licensors retain all right, title, and interest in and to the Service, including all software, models, designs, trademarks, and documentation. No rights are granted to you except as expressly set out in these Terms.

    We respect intellectual-property rights and respond to valid notices of infringement. To submit a takedown request, contact [email protected] with the information required by the U.S. Digital Millennium Copyright Act, including identification of the work, the allegedly infringing material, your contact details, and a good-faith statement under penalty of perjury.

    10

    Termination

    You may terminate your account at any time through your account settings or by contacting [email protected]. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including breach of these Terms or non-payment. Upon termination, your right to use the Service ceases immediately. We may delete your User Content and Outputs after termination; you should export anything you wish to retain before terminating.

    Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

    11

    Disclaimers

    THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYPERCLIP DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

    WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY OUTPUTS WILL BE ACCURATE, RELIABLE, OR FIT FOR ANY PURPOSE. YOU USE THE SERVICE AT YOUR OWN RISK.

    12

    Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HYPERCLIP, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). THE LIMITATIONS IN THIS SECTION APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

    13

    Indemnification

    You will defend, indemnify, and hold harmless Hyperclip and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your User Content or Outputs; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any law or any third-party right.

    14

    Changes to the Service or these Terms

    We may modify the Service at any time. We may also modify these Terms; if we make material changes we will provide notice (for example, by email or in-product notice) before they take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree, you must stop using the Service.

    15

    Governing law and disputes

    These Terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state and federal courts located in Salt Lake County, Utah, and you and Maxiv LLC consent to the personal jurisdiction of those courts.

    You and Maxiv LLC agree that any dispute will be resolved on an individual basis only; class actions and class arbitrations are not permitted. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

    16

    Miscellaneous

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and Maxiv LLC regarding the Service and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be given by email or through the Service.
